Many non-US residents are creating businesses in Delaware, some of which are operating within the country, others are operating totally outside and have no tangible connection with the U.S. more than the registration of its business.

The annual franchise tax is based on the total number of shares authorised regardless of value or capital. Must submit an initial list of directors and officers after creating the company.
