The company can start its existence as Unternehmergesellschaft (UG), an entrepreneurial company with a minimum of share capital of € 1. The companies that are created this way
are a kind of GmbH and become GmbH companies once they have collected the € 25,000

an be disbursed.

A UG company must maintain a special reserve that makes up a quarter of the annual benefits of the company until it has accumulated the minimum share capital of an ordinary GmbH. The accumulated capital is converted into share capital and UG becomes a standard GmbH.

The company, before raising the capital needed is suffixed UG-"Unternehmergesellschaft" or entrepreneurial company until it can collect € 25,000 in order to be a normal GmbH.
